Terms & Conditions

Welcome to Chaaya AI by RAAVA Industries Pty Ltd (“Chaaya”, “we”, “us”, “our”). By accessing or using any part of the Chaaya platform, you (“you”, “User”) agree to be bound by these Terms & Conditions (“Terms”). If you do not accept the Terms, do not use the Service.

1. Eligibility

  • You must be 13 years of age or older (16 where required by local law) and capable of forming a legally binding contract to create an account.
  • If you are under 18, you confirm that you have parental/guardian consent to use the Service.
  • Businesses warrant that the individual accepting these Terms has authority to bind the entity.

2. Use of Services

You agree NOT to:

  • use Chaaya AI for illegal, harmful, fraudulent or unethical purposes;
  • submit content that is defamatory, obscene, hateful, infringes intellectual-property or privacy rights, or violates any law;
  • reverse-engineer, decompile, scrape, mine or otherwise attempt to extract source code, datasets or model weights;
  • interfere with or disrupt the integrity, security or performance of the platform or its providers;
  • circumvent rate limits, usage quotas or authentication mechanisms;
  • falsely imply affiliation with RAAVA or Chaaya.

3. User Content & Responsibility

  • You retain all rights to inputs you upload and outputs generated for you, subject to applicable law.
  • You represent and warrant that you have all necessary rights and licences to the inputs you provide.
  • You are solely responsible for ensuring that outputs are reviewed for accuracy, compliance and suitability before use or publication.
  • You must not share outputs that violate the Acceptable Use Policy or these Terms.

4. Intellectual Property

  • All Chaaya platform software, models, templates, UI/UX, documentation, trademarks and related intellectual property are the exclusive property of RAAVA Industries Pty Ltd or its licensors.
  • No intellectual-property rights are transferred to you except the limited licence to use the Service while compliant with these Terms.
  • You may not reproduce, distribute, create derivative works of, publicly display or exploit any part of Chaaya without prior written consent.

5. Payments, Plans & GST

  • Current pricing is published at chaaya.ai/pricing.
  • All fees are in Australian dollars (AUD) and inclusive of GST unless stated otherwise.
  • Payments are processed securely through Stripe or other PCI-DSS compliant processors; we do not store full card numbers.
  • Subscriptions renew automatically at the then-current rate unless cancelled via your dashboard before the renewal date.
  • Refund requests are assessed per the policy on the pricing page or as required under the Australian Consumer Law (ACL).

6. Termination & Suspension

  • We may suspend or terminate your access, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraud, or pose a risk to the Service or other users.
  • You may cancel at any time via the billing portal or by emailing [email protected]; cancellation stops future renewals but does not retroactively refund past charges unless required by law.
  • On termination, your right to access the Service ceases immediately; sections that by nature should survive (e.g., Intellectual Property, Limitation of Liability) will continue.

7. Disclaimer & Australian Consumer Guarantees

Except for any non-excludable consumer guarantees under the Competition and Consumer Act 2010 (Cth) (“ACL”), the Service is provided on an “as is” and “as available” basis without warranties of any kind, express or implied. Where the ACL applies, our liability for failure to comply with a consumer guarantee is limited, at our option, to the supply of the services again or the payment of the cost of having the services supplied again.

8. Limitation of Liability

To the maximum extent permitted by law:

  • RAAVA, its directors, employees and affiliates are not liable for indirect, incidental, special, consequential or punitive damages, or loss of profits, data or business interruption arising from or in connection with the Service.
  • Our aggregate liability for any claim relating to the Service will not exceed the fees paid by you to Chaaya in the 12 months preceding the event giving rise to the claim.

9. Indemnification

You agree to defend, indemnify and hold harmless RAAVA Industries Pty Ltd and its officers, directors, employees and agents from any claims, damages, liabilities, costs and expenses (including legal fees) arising from your use of the Service, your content, or your breach of these Terms.

10. Governing Law & Dispute Resolution

  • These Terms are governed by the laws of the State of Victoria, Australia, without regard to conflict-of-law principles.
  • You and Chaaya submit to the exclusive jurisdiction of the courts of Victoria and the Commonwealth of Australia.
  • Before commencing legal proceedings, the parties will attempt to resolve the dispute in good faith by negotiation or, if agreed, mediation through the Victorian Small Business Commission or another recognised ADR provider.

11. Export Controls & Sanctions

You warrant that you are not located in, and will not export or transmit the Service or content to, any country or entity subject to Australian, U.S. or UN trade sanctions.

12. Amendments

We may modify these Terms from time to time. Material changes will be notified by email or in-app notice at least 14 days before the new Terms take effect. Continued use after the effective date constitutes acceptance of the revised Terms.

13. Entire Agreement & Severability

These Terms, together with our Privacy Policy and any additional product-specific terms, constitute the entire agreement between you and RAAVA concerning Chaaya AI. If any provision is held invalid, the remainder will remain in full force, and the invalid provision will be replaced by a valid provision that most closely reflects the intent of the original.
